Article 1 (Application)
- The purpose of these General Conditions (these "General Conditions") is to set forth the general conditions of the service named "BoostDraft" (If the name or content of the service is changed for any reason, the service after such change shall be included.) (the "Service") provided by BoostDraft, Inc. (the "Company") and the relationship of rights and obligations between the Company and the Users, etc. (as defined below.) regarding the use of the Service, and shall apply to all relationships between the Users, etc. and the Company regarding the use of the Service.
- If there are other rules or regulations in Service such as guidelines, manuals, or the Service Agreement (as defined below) that are separate from these Terms of Service, such rules and regulations shall also be a prerequisite for use of the Services, and Users, etc. shall use the Services in accordance with these terms of service as well as with these Terms of Service. In the event of any discrepancy between the contents of these General Conditions and any description of the Service outside of these General Conditions, the provisions of these General Conditions shall take precedence.
Article 2 (Definitions)
The following terms used in these General Conditions shall have the meanings set forth below.
(1) "Service Agreement" means a contract for the use of the Service between the Company and the User, which is concluded under the terms and conditions of these General Conditions.
(2) "Intellectual Property Rights" means copyrights, patents, utility model rights, design rights, trademarks and other intellectual property rights (including the right to acquire such rights or to apply for registration of such rights).
(3) "User" means a corporation, law firm or other person who wishes to receive the Services.
(4) The term "Users, etc." refers to Users and Registered Users collectively, or individually depending on the context.
(5) "Registered User" means an individual user who has been registered as a user of the Service in accordance with Article 7.
(6) "Antisocial forces" means organized crime groups, members of organized crime groups, right-wing groups, antisocial forces, and other similar groups.
Article 3 (Commencement of Use)
After the User agrees to these General Conditions and enters into a Service Agreement with the Company, completes registration as a Registered User in accordance with Article 7, and has each Registered User register the product key prescribed in Article 5 in a manner separately provided by the Company within the Service, the Users, etc. will be able to use the Service in accordance with the Service Agreement and these General Conditions.
Article 4 (Change of Registered Matters)
In the event of any change in the registered information of the User or its Registered Users, the User shall notify the Company of such change without delay in a manner determined by the Company.
Article 5 (Management of Product Key)
- The Company shall issue a product key to each Registered User as separately determined by the Company. The User shall have each Registered User, at his/her own responsibility, properly manage and store the product key, and shall not allow a third party to use the product key, lend, transfer, change the name of, sell, or otherwise deal with it.
- The User shall be responsible for any damage (including the amount equivalent to the usage fee for the unauthorized use of the product key by a third party.) caused by insufficient management of the product key by the Registered User, error in use, or use by a third party.
- If the User discovers that a relevant account has been stolen or is being used by a third party, the User shall immediately notify the Company to that effect and follow the Company's instructions. If a relevant Registered User becomes aware that his/her account is being stolen or used by a third party, the User shall have such Registered User immediately report this to the Company.
- If the Company determines that there is a possibility of unauthorized use of a Registered User's product key, the Company may suspend the use of the Service pertaining to such product key. In no event shall the Company be liable for any damages incurred by a Registered User due to the Registered User's inability to use the Service as a result of the Company’s taking such measures.
Article 6 (Fees and Method of Payment)
- In consideration of the use of the Service, the User shall pay the Company the usage fee stipulated in the Service Agreement by the payment method designated by the Company. Consumption tax and other taxes related to the usage fee, as well as fees and other costs required for payment, shall be borne by the User.
- Notwithstanding the preceding paragraph, if the Company offers a trial period, the Users, etc. may use the Service under the terms and conditions separately determined by the Company during a trial period to determine whether or not Users, etc. will use the Service.
- If the User delays payment of the usage fees, the User shall pay to the Company a late payment penalty at the rate of 14.6% per annum.
- The User shall bear and be responsible for all communication costs and telecommunication equipment costs required to use the Service.
Article 7 (Registered Users)
